What does the program offer?
Phases of the M&A program
Phase I: Initial company evaluation
•Validate goals and agree on project plan/timeline.
•Gather and analyze data, value assets/business, prepare investor presentation, transaction teaser, and list potential buyers.- Phase II:Company listing on the M&A portal
•Contact approved potential buyers.
•Submit counteroffers on behalf of the seller if needed. - Phase III: Negotiating and completing M&A
•Support financial, operational, tax, and legal due diligence.
•Assist seller with buyer interactions, negotiations, deal pricing, and transaction structuring.
•Evaluate binding offers.
•Select legal advisors and support in negotiating the sale and purchase agreement (SPA).
- Notes:
•Either party can terminate the project if deliverables are not agreed upon.
•Progress to the next phase depends on the results of the previous phase, and payments will be made accordingly.
